OFFICERS AND BOARD MEMBERS RESPONSIBILITIES
White Branch Property Owners Association
Each Board member and Officer is responsible for attending all monthly meetings. If an individual misses three meetings consecutively, that person no longer serves. If there are extenuating circumstances and the individual maintains contact and continues to fulfill other duties, it is a Board decision whether to make an exception.
The Board members are the governing body and make all major decisions. Only Board members and Officers, except the President, make motions and vote upon them. The President votes only to break a tie. Board meetings are governed according to Roberts Rules of Order. There must be a quorum of five out of seven (three out of five). Board members present in order for a motion to be voted upon. (All owners vote in elections, on annual dues amounts, and other issues as needed.)
Board members and Officers may make rules/regulations to ensure the safety, health, and a high quality of the community, and may decide Association goals, prioritize goals and expenditures, and must approve any expenditures. The quality of life pertains to the comfort and enjoyment of residents and the market value of their property. Each Board member and Officer has the ethical responsibility to base decisions on the greater good of the whole community and of the majority of property owners.
Each Board member and Officer is responsible for answering owners' calls, questions, complaints, suggestions, and negotiating cooperation. Note that the President often receives the majority of calls for help, complaints and emergencies, particularly when owners are away or absent.. They post notices on the community bulletin board for community residents as requested.
Officers serve at the discretion of the Board. They organize the business to be handled and carry out the directions of the Board. They may delegate assignments to others.
The President is a member of all committees to oversee and assist in their function. Committee chairs and members request expenditures and carry out the work only with prior approval of the Board. All Committee Chairs shall submit written reports of progress at each monthly Association meeting, unless no activity has occurred..
The President is responsible for calling the meeting to order, keeping the participants on task, and maintaining order. The Vice President assists in this, as well as other officers and Board members when needed.
The Vice President is responsible for assisting the President in carrying out the tasks as needed. The Vice President performs the President's duties when he/she is not available.
The President and Vice President represent the Board and the community of White Branch at Business and at other communitiy functions. Likewise, all Officers and Board members need to be mindful of representing White Branch at all public functions they attend.
The Treasurer is responsible for receiving and depositing payments, issuing receipts, paying bills timely, maintaining records of same, and balancing bank records; prepares a monthly report for each Board meeting and an annual report; maintains and gathers records for a yearly audit; provides input regarding the finances of the Association and discussion of expenditures and purchases.
The Secretary is responsible for taking notes at and for recording each Board meeting. The Secretary is responsible for preparing a hard copy of the monthly minutes, presenting it for approval at the following regular meeting, and maintaining a file all minutes per year and to keep them for permanent Association records. The original sign-in sheet, Treasurer's report, written notes of the meeting, and all committee reports will be attached for the permanent record. The Secretary prepares letters and mails correspondence as requested by the Board and other Officers. Copies to be maintained in appropriate files for the permanent record. The Secretary prepares notices of meetings and events, mails and or posts them on the bulletin board in a timely manner as required. The Secretary may attend and/or prepare reports as requested by committee chairs.
